BOARD OF DIRECTORS’ COMPLIANCE CODE AND DUTIES
Willamette Association of REALTORS® Board Members will:
- Act in the best interests of and fulfill their obligations to WAOR.
- Act honestly, fairly, ethically and with integrity.
- Conduct themselves in a professional, courteous and respectful manner.
- Comply with all applicable rules and regulations of the REALTORS® Association.
- Behave in Alignment with the NAR Code of Ethics
- Continually act in a manner to improve the professionalism of WAOR.
- Maintain confidential information until that information is deemed by the CEO or President such until such time as it is decided that a “public” statement will be made, or position taken, or when authorized or legally required to disclose such information.
- Disclose potential conflicts of interest, Bias, or Ex parte contact that they may have regarding any matters that may come before the Board, and possibly abstain from discussion and voting on any matter in which the director has, or may have, a conflict of interest depending on the level of conflict.
- Adopt policies for the Board, and any future modifications which may be adopted by the Board.
- Make it available to fellow directors any information that may be helpful to make a proper and sound decision.
Attend the Monthly Board Meeting (generally the 2nd Thursday of the month).
- Attend the Monthly General membership meeting (generally the 3rd Tuesday of the month).
- Willing to take on tasks or other responsibilities as needed by the BOD.
- Participate in one or more board approved Committees.
- Review and administer an annual budget.
- Approving or disapproving member programs, products, and services.
